The Purrfectmatch.com service ("Purrfectmatch.com" or the "Service") Singles Social Portal is a way for adults to meet each other online. Purrfectmatch.com is provided by Purrfectmatch.com, Inc., located at 6910 Cockrell Hill Rd., Dallas, TX 75236.

This is a legal agreement ("Agreement") between you and Purrfectmatch.com, Inc. Please read the Agreement carefully before registering for the Purrfectmatch.com service. By registering for Purrfectmatch.com, you become a member of the Service (a "Member"), and you agree to be bound by the terms and conditions of this Agreement (the "Terms") for as long as you continue to be a Member. If you do not agree to the terms, please do not register for the Purrfectmatch.com service. Upon becoming a member, you will have immediate access to all services provided by Purrfectmatch.com unless stated otherwise for promotional purposes. If you as a member decide to voluntarily terminate your membership with Purrfectmatch.com, access to our services will be honored until the end of the initial contract and will knowledge that unused portions of paid subscriptions are non-refundable.

The terms are subject to change by Purrfectmatch.com, Inc. at any time, effective upon notice to you. Minors may not become members. When you register, and from time to time thereafter, Purrfectmatch.com, Inc. will require that you provide sufficient in formation to indicate that you are at least 18 years old. By becoming a Member, you represent and warrant that you are at least 18 years old.

Either you or Purrfectmatch.com, Inc. may terminate your Purrfectmatch.com membership at anytime, for any reason, effective upon sending written notice to the other party. Purrfectmatch.com, Inc. reserves the right to immediately suspend or terminate your access to the Purrfectmatch.com service, without notice, upon any breach of this Agreement by you which is brought to Purrfectmatch.com, Inc.\'s attention. If Purrfectmatch.com terminates your membership in the Service because you have breached the Agreement, you will not be entitled to any refund of unused subscription fees. Even after membership is terminated, this Agreement will remain in effect.

Your membership in the Purrfectmatch.com service is for your sole, personal use. You may not authorize others to use your membership, and you may not assign or otherwise transfer your account to any other person or entity.

ONLINE CONDUCT

As a Member, you agree that:

 

You are solely responsible for the content or information you publish or display (hereinafter, "post") on the Purrfectmatch.com service, or transmit to other Purrfectmatch.com Members.

You will NOT post on the Purrfectmatch.com service, or transmit to other Purrfectmatch.com Members or Employees, any defamatory, inaccurate, abusive, obscene, profane, offensive sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party\'s rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity).

You will use the Purrfectmatch.com service in a manner consistent with any and all applicable laws and regulations. You will not include in your profile any telephone numbers, street addresses, last names, URL\'s, E-mail addresses, offensive anatomical or sexual references, or offensive sexually suggestive or connotative language, and you will not post any photos containing nudity or personal information. Purrfectmatch.com, Inc. reserves the right, but has no obligation, to reject any profile or photo that does not comply with these prohibitions.

You will not engage in advertising to, or solicitation of, other members to buy or sell any products or services through the Service. You will not transmit any chain letters or junk E-mail to other Purrfectmatch.com Members.

You will not post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.

You are solely responsible for your interactions with other Purrfectmatch.com Members. Purrfectmatch.com, Inc. reserves the right, but has no obligation, to monitor disputes between you and other Members. Any infraction may lead to legal remedy on behalf of Purrfectmatch.com

DISPUTES

If there is any dispute about or involving Purrfectmatch.com or the Services, by using the Services, you agree that legal issues arising from or related to the use of Services shall be construed in accordance with, and all questions with respect thereto shall be determined by, the laws of the State of Texas applicable to contracts entered into and wholly to be performed within said state. Any controversy or claim arising out of or relating to these Terms and Conditions or any user\'s use of Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in City of Dallas in the State of Texas, and judgment on the arbitration award may be entered into in any state or federal court in Texas having jurisdiction there of. Any party seeking temporary or preliminary injunctive relief may do so in any state or federal court in Texas having jurisdiction thereof. Except as set forth above, the state and federal courts of Texas shall be the sole and exclusive forum and venue to resolve disputes arising out of or relating to these Terms and Conditions or any User and/or Member’s use of the Services. By using Services and thereby agreeing to these Terms and Conditions, User and/or Member irrevocably consents to personal jurisdiction and venue in the state and federal courts in Texas with respect to all such disputes. The award ordered by any arbitrator made pursuant to any arbitration shall include payment and/or reimbursement to the prevailing party by the non-prevailing party for any and all fees, costs and expenses of such arbitration and any and all ancillary fees, costs and expenses incurred in connection with such arbitration by the prevailing party, including, without limitation, any and all reasonable fees, costs, expenses and disbursements of counsel.

You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, or relating to, your use of the Services or against Purrfectmatch.com must be filed within one (1) year after such claim or cause of action arises, or forever be barred.

You are solely responsible for your interactions with other Purrfectmatch.com Members and Users and Purrfectmatch.com will not get involved in any dispute between users of the Service. Purrfectmatch.com, Inc. reserves the right, but has no obligation, to monitor disputes between you and other Members or Users. You and each User and Member of Purrfectmatch.com agree that in any legal action taken against Purrfectmatch.com, irrespective of any success or failure on the merits by any party, you shall reimburse and pay any and all fees, costs and expenses incurred by Purrfectmatch.com in defending such action, including, without limitation, reasonable fees, costs, expenses and disbursements of legal counsel for Purrfectmatch.com, but excluding any damages awarded by the court.

INDEMNITY BY MEMBER

You will defend, indemnify, and hold harmless Purrfectmatch.com, Inc., its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorne ys\' fees) relating to or arising out of your use of the Purrfectmatch.com service, including any breach by you of the terms of this Agreement.

Opinions, advice, statements, offers, or other information or content made available through the Purrfectmatch.com service are those of their respective authors and not of Purrfectmatch.com, Inc., and should not necessarily b e relied upon. Such authors are solely responsible for such content. Purrfectmatch.com, Inc. does not guarantee the accuracy, completeness, or usefulness of any information on the service and neither adopts nor endorses nor is responsible for the accuracy or relia bility of any opinion, advice or statement made. Under no circumstances will Purrfectmatch.com, Inc. be responsible for any loss or damage resulting from anyone\'s reliance on information or other content posted on the Purrfectmatch.com service, or transmitted to Purrfectmatch.com m embers.

By posting information or content to any public area of Purrfectmatch.com, you automatically grant, and you represent and warrant that you have the right to grant, to Purrfectmatch.com, Inc. and other Purrfectmatch.com Members an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.

INFORMATION SUPPLIED BY MEMBER

Purrfectmatch.com, Inc. will keep confidential all information supplied by you to Purrfectmatch.com, Inc. and shall use or disclose such information only for the purposes for which such information was collected, or as required by law.  All credit card information are process by 3rd party services and will not be stored on our servers.

STATE BY STATE VARIATIONS

Certain jurisdictions limit the applicability of warranty disclaimers and limitations of liability so the above disclaimers of warranty and limitations of liability may not apply to you.

GENERAL PROVISIONS

You agree that Texas law (regardless of conflicts of law principles) shall govern this Agreement, and that any dispute arising out of or relating to this Agreement shall be subject to the federal and state courts in the District of Dallas. This Agreement, accepted upon registering for the Purrfectmatch.com service, contains the entire agreement between you and Purrfectmatch.com, Inc. regarding the use of the Service. This Agreement may only be amended upon notice by Purrfectmatch.com, Inc. to you, or by a writing signed by you and an authorized official of Purrfectmatch.com, Inc. Unless otherwise explicitly stated, the Terms will survive termination of your membership to the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.

COPYRIGHT POLICY

Termination of User Privileges for Infringement and Contact Information for Suspected Copyright Infringement:

We will terminate the privileges of any user who uses this Site to unlawfully transmit copyrighted material without a license, express consent, valid defense or fair use exemption to do so. In particular, users who submit User Content to this Site, whether articles, images, stories, software, items or other copyrightable material must ensure that the content they upload does not infringe the copyrights nor other rights of third parties (such as privacy or publicity rights).
